1. Acceptance of Terms

By accessing or using Neutron ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Neutron is an AI-ready memory infrastructure service designed to give AI agents persistent, searchable memory. The Service enables developers to store, search, and retrieve information using semantic vector embeddings, helping AI agents remember context, learn from interactions, and work more efficiently over time.

The Service includes:

  • RESTful API for storing and retrieving agent memories
  • Semantic search powered by multimodal vector embeddings
  • Multi-tenant support for managing memories across multiple users or agents
  • Developer dashboard for API key management and usage monitoring
  • TypeScript SDK for easy integration

3. Account Registration

To use the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and API keys.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Store memories containing malicious code, illegal content, or harmful material
  • Attempt to gain unauthorized access to the Service or its related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Use the Service to store sensitive personal data (health records, financial data, etc.) without appropriate safeguards and user consent
  • Resell or redistribute the Service without our express written consent
  • Exceed rate limits or abuse the Service in a way that degrades performance for others
  • Use the Service to build AI agents that engage in harassment, spam, or deceptive practices

5. AI Agent Memory Guidelines

When using Neutron to power AI agent memory, you are responsible for:

  • Ensuring your agents handle user data responsibly and in compliance with applicable laws
  • Implementing appropriate access controls when using multi-tenant features for external users
  • Providing clear disclosure to end users that your AI agents use persistent memory
  • Honoring user requests to delete their data stored as agent memories
  • Not using agent memories to circumvent user privacy preferences or consent choices

6. API Usage and Rate Limits

Your use of the API is subject to rate limits and usage quotas as specified in your plan. We reserve the right to throttle or suspend access if you exceed these limits or engage in abusive behavior that impacts other users.

7. Credits and Billing

The Service operates on a credit-based system. Credits are consumed based on API usage including memory storage, embedding generation, and search queries. Free trial credits are provided to new accounts. Paid plans and pricing will be introduced in the future. We reserve the right to modify pricing with reasonable notice.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. You retain ownership of all data you submit to the Service, including agent memories, metadata, and uploaded content. We process your data solely to provide the Service and as described in our Privacy Policy.

9. Intellectual Property

The Service, including its design, features, APIs, and documentation (excluding your data), is owned by us and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT GUARANTEE THE ACCURACY OF SEARCH RESULTS OR EMBEDDING SIMILARITY SCORES.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, INCLUDING DAMAGES ARISING FROM AI AGENT BEHAVIOR BASED ON STORED MEMORIES.

12. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of the Service, the behavior of AI agents you build using the Service, or violation of these Terms.

13. Termination

We may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms. Upon termination, your right to use the Service will immediately cease and stored memories may be deleted after a reasonable retention period.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which we operate, without regard to its conflict of law provisions.
